1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sales AI, a product developed and operated by Posterior AI and built using and on Byob.studio (collectively, "we," "us," or "our").

By creating an account or using any part of the Sales AI platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the service.

2. Description of Service

Sales AI is an AI-powered voice sales practice platform that enables users to:

• Conduct real-time voice conversations with AI-driven investor personas
• Receive performance analytics including speaking balance, pacing, and response patterns
• Track progress across multiple practice sessions
• Configure practice environments with varying difficulty levels and persona styles

The service is provided for practice and educational purposes only. Sales AI does not provide investment advice, financial guidance, or guarantees regarding real-world fundraising outcomes.

3. Eligibility

You must be at least 16 years of age to use Sales AI. By using the service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration & Security

To access Sales AI, you must create an account using one of our supported authentication methods (Google Sign-In or email). You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that show signs of unauthorized access or suspicious activity.

5. Acceptable Use

You agree to use Sales AI in a lawful and responsible manner. You must not:

• Use the service to create, transmit, or practice content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or proprietary algorithms
• Interfere with or disrupt the service infrastructure, including servers and networks
• Use automated tools, bots, or scrapers to access the service without our written permission
• Share, resell, or sublicense your account access to third parties
• Impersonate another person or entity while using the service

6. Subscription Plans & Billing

6.1 Free & Pro Plans

Sales AI offers a free tier with limited usage and a Pro subscription with expanded features and session allowances. Plan details, pricing, and feature comparisons are available on our Pricing page.

6.2 Payment Processing

All subscription payments are processed by Paddle, our Merchant of Record. By subscribing to a paid plan, you agree to Paddle's Terms of Service and Privacy Policy.

6.3 Billing Cycle

Pro subscriptions are billed on a recurring monthly basis. Your subscription will automatically renew at the end of each billing cycle unless cancelled before the renewal date.

6.4 Cancellation & Refunds

You may cancel your Pro subscription at any time from your account settings. Upon cancellation:

• You retain access to Pro features until the end of your current billing period
• No further charges will be made after cancellation
• Refund requests are handled in accordance with Paddle's refund policy

7. Intellectual Property

7.1 Our Property

The Sales AI platform, including its design, interface, AI models, algorithms, branding, documentation, and all underlying technology, is the intellectual property of Posterior and BYOB Studio. These Terms do not grant you any ownership rights in the service.

7.2 Your Content

You retain ownership of any content you create during practice sessions, including your spoken words and any materials you provide. By using the service, you grant us a limited, non-exclusive license to process your content solely for the purpose of delivering the Sales AI experience (e.g., generating transcripts, computing analytics, and providing AI responses).

8. AI-Generated Content Disclaimer

Sales AI uses artificial intelligence to simulate investor conversations and generate performance feedback. You acknowledge that:

• AI-generated responses are simulated and do not represent the views of any real investor, firm, or financial institution
• Performance metrics and feedback are algorithmically derived and should be used as general guidance, not definitive assessments
• AI models may occasionally produce inaccurate, incomplete, or unexpected responses
• The service does not constitute professional investment, legal, or financial advice

9. Privacy

Your use of Sales AI is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the service, you consent to our data practices as described therein.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Sales AI is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
• We do not warrant that the service will be uninterrupted, error-free, or free of harmful components
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
• Our total aggregate liability for any claims arising from these Terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim

Sales AI is a practice tool. We are not responsible for the outcome of any real investor meetings, fundraising efforts, or business results.

11. Indemnification

You agree to indemnify, defend, and hold harmless Posterior, BYOB Studio, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of Sales AI or violation of these Terms.

12. Service Modifications & Termination

We reserve the right to:

• Modify, suspend, or discontinue any aspect of Sales AI at any time with reasonable notice
• Suspend or terminate your account for violation of these Terms or for any conduct we deem harmful to the service or other users
• Update these Terms periodically — material changes will be communicated via email or in-app notification

Upon termination, your right to access the service ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Indemnification) shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the service shall be resolved through good-faith negotiation or, if necessary, binding arbitration.
